BDH new shareholder in BIO COMPANY
As part of a capital increase, BDH (Bio Development Holding AG/Switzerland) has become a shareholder in BIO COMPANY GmbH, Berlin.
BIO COMPANY GmbH/Berlin – Germany’s no. 3 organic retailer by number of stores– can look forward to a more secure future. Together with Switzerland’s Bio Development Holding AG, the company has carried out a retroactive capital increase to 1 January 2016. In return for their 39.9% stake in BIO COMPANY, the Swiss investors bring fresh equity for further solid growth. Along with a classic physical expansion strategy, targeting selected regions in German-speaking Europe, this will also mean expanding into the growing market of online sales.
‘With the funds from the capital increase, we can proceed in a more independent, more entrepreneurial way, while our strategic association with BDH means we can stay true to our established principles,’
says BIO COMPANY’s Georg Kaiser and Hubert Bopp-Kempf, explaining their decision to bring BDH on board. For the two men – previously sole proprietors – it was already clear from the negotiations that a good relationship would develop with the new shareholders.
‘When we joined BIO COMPANY we wanted to bring retail expertise into the group to complement our existing activities in the organic wholesale sector. Together with BIO COMPANY, we’re taking a big step towards implementing our strategic goals in the organic market,’ say BDH representatives.
They add that when they evaluated BIO COMPANY and considered how to reach their strategic goals, the two companies’ shared values proved to be a decisive factor. BDH set out in 2009 with the aim of helping operations with strong identities just like BIO COMPANY build an independent future.
The newly created BIO COMPANY board will be composed of Georg Kaiser and Hubert Bopp-Kempf from BIO COMPANY alongside Marco Arduini and Markus Lüthi representing BDH.
Since autumn 2010, BDH has held a 75% stake in Seon-based Bio Partner Schweiz AG, making it the majority shareholder of what is by far the largest organic wholesaler in Switzerland. Since autumn 2014, BDH has been the sole shareholder of Phönix GmbH, a regional organic wholesaler based in Hesse. BDH has three long-standing principal shareholders who are active in the sustainable investment space and have considerable expertise in the organic market.
